Bid Defenses

When a hostile offer is made or expected for a business that is not believed to be in the best interests of the company or its shareholders, obtaining help from an external source enables a company to continue its day-to-day business while resisting the threat.

KPMG's Corporate Finance practice provides advice based on previous experience and assists with the defense, undertaking to help:

  • review corporate performance in absolute and comparative terms;
  • conduct a detailed valuation of the company's trading operations and assets to show their worth;
  • rigorously analyse the hostile bidder and carefully consider any alternative suitors;
  • manage the defense team and involve other advisers as necessary;
  • present the company's case to shareholders and key audiences - employees, the investment community, the authorities and the general public.

KPMG's Corporate Finance practice's role throughout is to help a company resist a hostile threat and to help achieve the best outcome for the business and its shareholders.
